Terms for merchants
Last updated 17 October 2026
These terms are an agreement between you (the business opening a store) and Uru ("Uru", "we"). They cover your Uru account, your online store, payments to you and Uru Market. By creating a store you accept them. Please read them; they are written to be clear.
1. Your account
- You must be at least 18 and able to enter contracts, and the details you give us must be true and kept up to date.
- You are responsible for your account and for what your team members do in it. Keep your sign-in secure and tell us straight away if you think someone else has used it.
2. Plans and fees
- Plans, prices and features are on our pricing page. New stores start with a free trial; when it ends, a store that hasn't chosen a paid plan moves to the Free plan, with its limits.
- Each paid order carries your plan's order fee, which covers payment processing. It is taken from the order before we pay you, and shown on each order in your dashboard.
- Subscriptions renew automatically until you cancel. We'll give you at least 30 days' notice before changing the price of your plan.
3. Payments and payouts
- Shoppers pay at your store's checkout through Paystack. The money is received by Uru, which pays you what you earned (sales less fees), on these terms.
- Money from an order becomes available to withdraw once it is delivered: for deliveries we arrange, when delivery is confirmed or 7 days after it was sent; for your own delivery or store pickup, 3 days after you mark the order done.
- Before your first withdrawal we check your business: your name, and your BVN, NIN or CAC number, must match the bank account we pay into. Until then, your monthly sales are limited (the limit is shown in your dashboard).
- Withdrawals go only to a bank account confirmed with your bank, and pause for 48 hours after you change it, to protect you from account takeover.
- We may hold money from an order while we look into a complaint that it wasn't delivered, or into suspected fraud, and tell you why.
4. Refunds, returns and disputes
- You handle returns and refunds as your store's published policies say, and in line with Nigerian consumer protection law. Faulty, damaged or wrong items must be put right.
- A refund returns the full amount the shopper paid. Paystack doesn't give back its processing fee on refunds, so that fee is yours.
- Refunds and chargebacks come off your balance. If your balance goes below zero, the difference comes off your next sales.
5. Paying only through checkout
You must not ask or encourage shoppers to pay you outside your store's checkout (for example by bank transfer to your own account) for orders that start on Uru or Uru Market. Shoppers aren't protected when they pay outside checkout, and it is how most online scams work. Doing so is grounds for immediate suspension, and we may hold your balance while we review it.
6. What you can sell
You may sell only goods and services that are legal in Nigeria and that you have the right to sell. You may not sell:
- weapons, ammunition, explosives or fireworks;
- illegal drugs, or prescription medicines without the required licence;
- counterfeit, stolen or pirated goods, or anything that infringes someone else's rights;
- adult content or services;
- hazardous materials, or wildlife protected by law;
- investment schemes, loans, gambling, or "get rich quick" offers;
- anything else that is unlawful or that we reasonably consider harmful.
Describe what you sell honestly, deliver what you sold in the time you promised, and follow your published policies.
7. Delivery
Deliveries we arrange are carried out by our delivery partner, Gbam Logistics. Have orders packed and ready for pickup, and give accurate weights and contents. When you deliver yourself, deliver to the shopper within the time they were shown.
8. Reviews and Uru Market
- Reviews come only from verified buyers. You must not write, buy or pressure for reviews, or offer rewards for good ones. We remove reviews that break our rules, never just for being negative.
- Listing on Uru Market is our decision, based on quality and trust checks, and we may remove a listing at any time.
9. Your customers' information
Information your shoppers give when buying from your store belongs to your business: you decide how it's used, and we handle it for you as described in our privacy policy. Use it only for their orders and, if they agreed, your marketing, in line with the Nigeria Data Protection Act 2023.
10. Suspending or closing a store
- We may suspend or close a store that breaks these terms, is used for fraud, or puts shoppers at risk. Where we can, we'll tell you first and give you a chance to fix it.
- You can close your store at any time. Money you have earned is paid out once its holds end and any open refunds or disputes are settled.
11. Our responsibility
We work hard to keep Uru running, secure and accurate, but we can't promise it will never be interrupted. We aren't responsible for losses we couldn't reasonably foresee, or for loss of profit or business. Our total responsibility to you is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits responsibility that the law doesn't allow to be limited.
12. Changes and the law
We may update these terms. We'll tell you about important changes at least 30 days in advance; continuing to use Uru after that means you accept them. These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State will deal with disputes we can't settle together.
